1.1 Definition of COBEC
The Code of Business Ethics and Conduct (COBEC) defines the ethical principles, standards of behavior, and professional expectations that guide all employees, leaders, contractors, and representatives of Vecmocon Technologies Private Limited. COBEC is the foundation for how we conduct business, make decisions, interact with colleagues, customers, partners, regulators. It ensures that Vecmocon operates with integrity, responsibility, and respect while complying with all applicable laws and regulations. This COBEC is inspired by global best practices in ethics and compliance frameworks and is designed specifically for Vecmocon’s context, scale, and culture. It stands as an independent guiding document for ethical conduct at Vecmocon, in alignment with applicable laws and regulations.

1.3 Scope and Applicability
This policy applies to:
- All full-time and part-time employees
- Contractual staff, consultants, interns, and trainees
- Directors, officers, and leadership team
- Any individual representing Vecmocon in any capacity
1.4 Who Must Comply
Compliance with this COBEC is mandatory and a condition of employment or association with Vecmocon.

3.1 Health, Safety & Well-being
Vecmocon is committed to providing a safe, healthy, and secure work environment for employees, visitors, and partners.
Employees are expected to:
- Follow all safety guidelines, Policies, and statutory requirements
- Report unsafe conditions, incidents, or near-misses immediately
- Avoid working under the influence of alcohol, drugs, or substances that impair judgement
- Use company equipment responsibly and as intended

Employees are expected to:

4. Business Integrity
Vecmocon Technologies is committed to conducting its business with honesty, transparency, and integrity. Ethical business conduct is essential to maintaining trust with customers, partners, regulators, and society. Every employee and representative of Vecmocon is expected to act in good faith, avoid improper practices, and comply with applicable laws and internal policies while conducting business on behalf of the organization.
Business integrity applies to all interactions with customers, suppliers, competitors, government authorities, and other stakeholders, across all geographies and business activities.
4.1 Fair Competition & Ethical Dealings
Vecmocon believes in competing fairly and ethically in the marketplace. Employees must comply with all applicable competition and antitrust laws and avoid practices that restrict fair competition or create unfair advantage.
Employees are expected to:
- Compete based on quality, innovation, pricing, and service
- Avoid agreements or understandings that could limit competition
- Refrain from sharing or soliciting sensitive competitive information
- Conduct negotiations honestly and in good faith
- Treat customers, suppliers, and partners fairly and professionally
- Any form of collusion, price-fixing, bid-rigging, or abuse of market position is strictly prohibited.
4.2 Bribery, Corruption & Improper Advantages
Vecmocon does not permit bribery, corruption, facilitation payments, or any form of improper advantage, whether direct or indirect. Employees must not offer, give, solicit, or accept anything of value that could improperly influence a business decision or create a conflict of interest.
This includes:
- Cash payments or equivalents
- Gifts, hospitality, or entertainment beyond acceptable limits
- Kickbacks, commissions, or favours
- Indirect payments through third parties or intermediaries
All business dealings must comply with applicable anti-corruption laws and Vecmocon’s Anti-Bribery & Anti-Corruption Policy, which provides detailed guidance on gifts, hospitality, approvals, and reporting obligations.
4.3 Conflicts of Interest
A conflict of interest arises when personal interests interfere, or appear to interfere, with the best interests of Vecmocon. Employees are expected to act objectively and avoid situations where personal, financial, or relational interests could influence business decisions.
Employees must:
- Disclose any actual or potential conflicts of interest promptly
- Avoid using their position for personal gain
- Refrain from participating in decisions where a conflict exists
- Seek guidance when unsure whether a situation constitutes a conflict
- Declared conflicts will be reviewed and managed transparently to protect both the employee and the organisation.
4.4 Insider Trading & Use of Confidential Information
Employees may have access to confidential, proprietary, or price-sensitive information related to Vecmocon, its customers, partners, or vendors. Such information must be protected and used only for legitimate business purposes.
Employees must not:
- Use confidential or non-public information for personal benefit
- Share sensitive information with unauthorized individuals
- Engage in trading or financial decisions based on insider information
- Misuse customer, partner, or company data
Obligations regarding confidentiality continue even after termination of employment or engagement with Vecmocon.
4.5 Accurate Business &Financial Records
Vecmocon is committed to maintaining accurate, complete, and transparent business and financial records. All records must reflect transactions truthfully and in accordance with applicable accounting standards, laws, and internal controls.
Employees are expected to:
- Ensure accuracy in reports, timesheets, expense claims, and documentation
- Never falsify, conceal, or misrepresent information
- Cooperate fully with audits, reviews, and investigations
- Retain records in line with company and statutory requirements
- Integrity in record-keeping is critical to regulatory compliance and organisational trust.
4.6 Political Activities & External Engagements
Vecmocon is politically neutral and does not support political parties or candidates through corporate funds, resources, or endorsements.
Employees may engage in personal political activities outside of work, provided that:
- Such activities are conducted in a personal capacity
- Company resources, time, or brandingare not used
- There is no implication of Vecmocon’s endorsement or support
- External engagements, public speaking, media interactions, or representations on behalf of Vecmocon must be authorised and aligned with company guidelines.
5. Business Relationships
Vecmocon Technologies builds long-term business relationships based on trust, transparency, professionalism, and mutual respect. How we engage with customers, partners, suppliers, and the broader ecosystem directly impacts our reputation, credibility, and success. All business relationships must be conducted ethically, lawfully, and in alignment with Vecmocon’s values and policies.
Employees and representatives are expected to act in good faith, avoid conflicts of interest, and ensure that all interactions reflect Vecmocon’s commitment to integrity and responsible business conduct.
5.1 Working with Our Customers
Vecmocon is committed to delivering reliable, safe, and high-quality products and services to its customers. Customer relationships must be built on honesty, transparency, and accountability.
Employees are expected to:
- Understand and meet customer requirements responsibly and accurately
- Communicate clearly, truthfully, and professionally at all times
- Avoid making misleading claims, promises, or commitments
- Protect customer data, confidential information, and intellectual property
- Address concerns, complaints, or issues promptly and constructively
- Comply with contractual obligations, regulatory requirements, and internal quality standards
- All customer interactions must reinforce trust, safety, and long-term value creation.
5.2 Working with Our Partners & Ecosystem
Vecmocon collaborates with technology partners, OEMs, startups, academic institutions, and ecosystem stakeholders to advance innovation and sustainable mobility. These relationships must be governed by shared values, ethical practices, and respect for intellectual property and confidentiality.
Employees must:
- Engage partners fairly, transparently, and professionally
- Respect contractual terms, confidentiality obligations, and data protection requirements
- Avoid conflicts of interest or preferential treatment
- Ensure compliance with applicable laws and Vecmocon policies
- Represent Vecmocon responsibly in joint initiatives, forums, and public engagements Partnerships should strengthen trust, innovation, and mutual growth while safeguarding Vecmocon’s interests and reputation.
5.3 Working with Vendors & Suppliers
Vecmocon expects its suppliers and vendors to operate ethically and in compliance with applicable laws. Supplier relationships are based on fairness, transparency, and objective decision-making.
Employees involved in supplier engagement must:
- Select suppliers based on merit, quality, cost, capability, and reliability
- Avoid improper influence, personal benefit, or conflicts of interest
- Ensure fair and transparent procurement processes
- Respect confidentiality and intellectual property rights
- Monitor supplier performance and address concerns responsibly
- Report any unethical behaviour or non-compliance through appropriate channels
- Vecmocon encourages responsible sourcing and expects suppliers to uphold standards related to ethics, labour practices, safety, and environmental responsibility.
5.4 Conduct in Internal and External Engagements
All employees representing Vecmocon in external engagements — including interactions with customers, partners, suppliers, regulators, industry bodies, and other stakeholders — are expected to maintain the highest standards of professionalism.
Employees must ensure that their tone, communication style, and behaviour remain respectful, appropriate, and consistent with professional boundaries at all times. Any conduct that may be perceived as inappropriate, overly personal, suggestive, or inconsistent with professional standards is not acceptable.
Professional conduct standards apply equally to:
- In-person meetings
- Business travel
- Conferences and industry events
- Social gatherings linked to work
- Virtual meetings and digital communications
- Messaging platforms, email, and social media
All external interactions must reflect Vecmocon’s values of Integrity, Respect, Accountability, Pride, and Adaptability, and must protect the Company’s reputation and stakeholder trust.
6. Company & Third-Party Assets
Vecmocon Technologies’ assets—whether physical, digital, intellectual, or informational—are critical to our business, innovation, and reputation. Employees and representatives are entrusted with these assets and are expected to protect them from misuse, loss, damage, or unauthorized access.
This responsibility extends not only to Vecmocon’s own assets but also to assets belonging to customers, partners, suppliers, and other third parties that are entrusted to us during the course of business.
6.1 Intellectual Property
Intellectual Property (IP) is a core asset of Vecmocon and includes, but is not limited to, software, firmware, algorithms, designs, models, documentation, patents, trademarks, copyrights, and trade secrets developed or used in the course of work.
Employees are expected to:
- Protect Vecmocon’s IP from unauthorized use, disclosure, or infringement
- Use IP only for legitimate business purposes
- Respect ownership of IP created during employment or engagement
- Comply with contractual and legal obligations related to IP
- Respect third-party intellectual property rights and licensing terms
- Any creation, use, or disclosure of IP must align with applicable laws, contracts, and internal policies.
6.2 Confidential & Proprietary Information
Employees may have access to confidential or proprietary information relating to Vecmocon, its customers, partners, suppliers, or other stakeholders. Such information must be handled with care and used strictly on a need-to-know basis.
Confidential information includes, but is not limited to:
- Business strategies, financial data, pricing, and forecasts
- Technical information, source code, and product roadmaps
- Customer, supplier, and partner information
- Internal communications and non-public operational data
- Employees must not disclose, misuse, or allow unauthorised access to confidential information during or after their association with Vecmocon
6.3 Protection of Personal Data & Privacy
Vecmocon is committed to protecting personal data and respecting the privacy of employees, customers, partners, and other individuals. Personal data must be collected, processed, stored, and shared lawfully and responsibly.
Employees are expected to:
- Handle personal data in accordance with applicable data protection laws and company policies
- Access personal data only when authorised and necessary for business purposes
- Safeguard data against loss, misuse, or unauthorised access
- Report suspected data breaches or privacy incidents promptly
- Failure to protect personal data may result in legal, regulatory, and reputational consequences for both the individual and the organisation.
6.4 Appropriate Use of Company & Third-Party Assets
Company and third-party assets—including equipment, systems,networks, tools, facilities, and information resources—must be used responsibly and primarily for legitimate business purposes.
Employees must:
- Use assets in a manner that is safe, lawful, and professional
- Avoid misuse, damage, theft, or unauthorised personal use
- Protect assets from cyber threats, loss, or negligence
- Return company assets upon request or at the end of employment or engagement
- Respect restrictions on use of third-party assets and resources
- Any misuse or unauthorised use of assets may result in disciplinary action in line with company policy.
7. Compliance, Discipline & Accountability
Vecmocon Technologies expects the highest standards of compliance, ethical behaviour, and accountability from everyone associated with the organisation. Compliance with laws, internal policies, and ethical standards is a shared responsibility and essential to protecting Vecmocon’s people, reputation, and business.
Failure to comply with this Code or related policies may expose the individuals to legal, regulatory, and reputational risks.
7.1 Compliance with Laws, Policies& Standards
Employees and representatives must comply with all applicable laws, regulations, internal policies, and professional standards relevant to their roles and responsibilities.
This includes:
- Understanding and following the Code of Business Ethics & Conduct
- Complying with all applicable local, national, and international laws
- Adhering to Vecmocon’s internal policies, procedures, and guidelines
- Acting in accordance with contractual and regulatory obligations
- Seeking guidance when unsure about legal or ethical requirement
- Where local laws and company policies differ, the higher standard of ethical conduct must be followed, unless prohibited by law
7.2 Disciplinary Action & Consequences
Compliance with this Code is mandatory. Any violation of the Code, related policies, or applicable laws may result in corrective or disciplinary action, in accordance with the Disciplinary Policy and applicable legal requirements.
Disciplinary actions may include:
- Counselling or corrective guidance
- Formal warnings
- Suspension or termination of employment or engagement
- Legal action where required
- Disciplinary measures will be applied fairly, consistently, and proportionately, based on the nature and severity of the violation.
7.3 Roles & Responsibilities
Maintaining ethical conduct and compliance at Vecmocon is a shared responsibility.
- Employees are responsible for understanding and complying with this Code, acting ethically, and raising concerns in good faith.
- Managers and Leaders are expected to lead by example, promote ethical behaviour, address concerns promptly, and ensure their teams understand and follow the Code.
- Leadership and Management are responsible for enforcing the Code, supporting compliance initiatives, and ensuring appropriate governance and oversight.
- People / HR and Compliance Functions support awareness, training, investigations, and disciplinary processes in line with company policies.
Accountability at every level strengthens trust, reinforces culture, and ensures long-term organisational success.
